These General Conditions of Online Sale (the "General Conditions") apply to all purchase contracts concluded between the User and Tip Tap Factory S.R.L. (the "Company") via the website www.dls.it (the "Website"). Please read them carefully before proceeding with any purchase.

Placing a purchase order on the Website implies full and unconditional acceptance of these General Conditions in the version published at the time of the order.

1. The Company

2. Definitions

For the purposes of these General Conditions, the following terms shall have the meanings set out below:

      “User”: any natural person who accesses the Website and/or makes a purchase as an end consumer, for purposes unrelated to any commercial, entrepreneurial or professional activity they may carry out.

      “Products”: the 100% handcrafted Made in Italy footwear and accessories available for purchase in the Online Shop on the Website.

      “Order”: the purchase proposal submitted by the User via the Website, in accordance with the procedure set out in Article 5.

      “Order Confirmation”: the e-mail communication sent by the Company confirming acceptance of the Order and dispatch of the Products.

      “Processing Receipt”: the automated communication sent upon receipt of the Order, which does not constitute acceptance of the Order.

      “Purchase Contract”: the distance selling contract concluded between the Company and the User upon dispatch of the Order Confirmation.

      “Profile”: the restricted area of the Website accessible following authentication, through which the User may view their personal data, manage orders and return requests.

 

3. Commercial Policy

The Company sells Products exclusively to end consumers. Purchases for resale or commercial purposes are not permitted. The Company reserves the right to refuse orders that do not comply with this policy or these General Conditions.

4. Registration and User Account

4.1 Account creation

Registration on the Website is not mandatory in order to make purchases. It is, however, recommended in order to access dedicated services, monitor orders and manage return requests more easily. Upon registration, the User must provide truthful, accurate and complete data.

4.2 Account responsibility

The User is responsible for the confidentiality of their access credentials and for all activities carried out via their account. In the event of unauthorised use, the User must notify the Company promptly at customercare@dls.it.

4.3 Account closure

The User may request deactivation or deletion of their account at any time by contacting Customer Care. The Company reserves the right to suspend or close the account in the event of a breach of these General Conditions.

5. Order Process and Contract Formation

5.1 Product availability

Products available for purchase are those listed on the Website at the time the Order is placed. Images and colours published are for illustrative purposes only and may not faithfully reproduce the actual characteristics of the Products, including due to the settings of the User’s device.

5.2 Placing an Order

To make a purchase, the User selects the desired Products, adds them to the basket and completes the checkout process by making payment and reviewing the order summary (products, quantities, prices, shipping costs and payment method). Placing the Order constitutes a binding purchase proposal.

5.3 Confirmation and contract formation

The Company sends the User a Processing Receipt upon receipt of the Order: this does not constitute acceptance. The Purchase Contract is concluded exclusively upon dispatch of the Order Confirmation, transmitted by e-mail from an official DLS address to the address provided by the User.

Should the User not receive the Order Confirmation within 2 working days, the Order shall be deemed refused by the Company, which will notify the User and, where applicable, refund any amounts already charged.

5.4 Subsequent unavailability

In the event that one or more ordered Products subsequently become unavailable, the Company will notify the User of the estimated time for restocking. The User may choose to keep the Order or cancel it within 48 hours of notification. In the event of cancellation, the refund will be processed within the statutory timeframes using the same payment method used for the purchase.

6. Prices and Payment Methods

6.1 Prices

Prices listed on the Website are expressed in Euros (€) and are inclusive of VAT. Shipping costs, where applicable, are shown separately before the Order is finalised. The Company reserves the right to amend prices at any time; the price published at the time the Order is placed shall apply.

For deliveries outside the EU, any customs duties, taxes and charges required under the legislation of the destination country are the sole responsibility of the User and must be paid directly to the relevant authorities or to the courier upon delivery.

6.2 Accepted payment methods

The Website accepts the following payment methods:

      Credit/debit card (Visa, Mastercard, American Express) — via secure circuit. The Company does not access or store the User’s card details.

      PayPal

      Bank transfer

The Company reserves the right to amend the available payment methods at any time. Those published on the Website at the time the Order is placed shall apply.

6.3 Pricing errors

The Company reserves the right to cancel the Order if, due to technical, IT or clerical errors, the price published on the Website is manifestly incorrect or plainly unreasonable in relation to the actual value of the Product. In such cases, the Company will promptly notify the User and refund any amounts already paid.

7. Shipping and Delivery

7.1 Dispatch times

The Company dispatches available Products within 2 working days of receipt of payment confirmation. For Products not immediately available, dispatch will take place within 5–7 working days of the item being restocked.

7.2 Estimated delivery times

      United Kingdom and Italy: within 48 hours of the dispatch date

      Other European countries: within 5–7 working days of the dispatch date

      Non-European countries: within 10 working days of the dispatch date. Any customs duties, taxes and charges required under the legislation of the destination country are the sole responsibility of the User and may affect delivery times.

Delivery times are estimates and are not binding. The Company is not liable for delays attributable to the courier or to circumstances beyond its control.

7.3 Tracking

Following dispatch, the User will receive a tracking number by e-mail to monitor their shipment. This information is also available in the “My Orders” section of the Profile.

7.4 Inspection upon delivery

Upon delivery, the User (or their authorised representative) must verify: (i) that the number and type of Products received correspond to those indicated on the delivery note; and (ii) the integrity of the packaging. Any discrepancies must be raised immediately by adding a written reservation to the delivery receipt and reported within 7 days by e-mail to customercare@dls.it.

7.5 Non-collection

If the Products are not collected within the timeframe established by the courier, they will be returned to the Company. The User will receive a refund of the product price, excluding shipping costs, any additional costs due to customs duties, taxes and charges required under the legislation of the destination country, and any storage costs arising from non-collection, which are the sole responsibility of the User.

8. Right of Withdrawal and Returns

8.1 Timeframe and procedure

The consumer User has the right to withdraw from the Purchase Contract without stating any reason within 14 days of the date of receipt of the Products, pursuant to Legislative Decree No. 206/2005 (Consumer Code) and Directive 2011/83/EU.

Withdrawal may be exercised by:

      Written communication sent to customercare@dls.it within the stated timeframe;

      The dedicated procedure in the “Returns” section of the Profile (for registered Users).

8.2 Return of Products

The User must return the Products within 14 days of the withdrawal notice. Return shipping costs are borne by the User. Products must be returned:

      intact, unused and free from signs of wear;

      in the original, intact packaging, including any accessories and accompanying documentation;

      with a copy of the delivery receipt enclosed inside the packaging.

8.3 Refund

The Company will issue a full refund of the product price within 14 days of receipt, provided that:

      the Products have been returned and are intact;

      the original packaging/box of the Products has also been returned and is intact;

      any accessories have also been returned and are intact;

      the Products have not been used.

The refund will be made using the same payment method as the original purchase, unless otherwise explicitly agreed. In the case of purchase by bank transfer, any additional charges are borne by the User. Return shipping costs are borne by the User.

If Users exercise the right of withdrawal in a manner that does not comply with the terms and conditions set out in this Article 8, they shall not be entitled to a refund of the price.

8.4 Exclusions

The right of withdrawal does not apply to personalised or bespoke Products made to the User’s specifications.

9. Legal Guarantee of Conformity

All Products sold by the Company are covered by the legal guarantee of conformity provided under Articles 128–132 of Legislative Decree No. 206/2005, for a period of 24 months from the date of delivery of the product, applicable to consumers.

Any lack of conformity must be reported to the Company by sending an e-mail to customercare@dls.it including: the order number, a description of the defect and photographic evidence.

In the event of a confirmed defect, the User is entitled, at their choice and subject to any legal limitations, to repair or replacement of the Product; failing that, to a reduction in price or termination of the contract with a refund of the amount paid.

The guarantee does not cover defects arising from improper use, negligence, carelessness, normal wear and tear, washing contrary to instructions, or failure to follow the care and use instructions provided with the Product or available on the Website.

10. Intellectual Property and Copyright

All content on the Website — including texts, images, photographs, videos, logos, illustrations and source code — is the exclusive property of Tip Tap Factory S.R.L. or its licensors and is protected by applicable intellectual property and copyright legislation.

The User is prohibited from:

      reproducing, copying, modifying or distributing Website content without prior written authorisation from the Company;

      creating derivative works from Website content;

      using the DLS® trademarks for commercial purposes without authorisation.

 

11. Limitation of Liability

The Company is not liable for: delays or non-delivery attributable to the courier or to force majeure events, including by way of example but not limited to strikes, wars, pandemics, and logistical blockades; damage to Products occurring after delivery to the carrier, where the carrier was selected by the User; any inaccuracies in Product images or descriptions, within the bounds of normal tolerance; temporary interruptions to the Website for maintenance or technical reasons.

12. Personal Data Protection

The processing of Users’ personal data is carried out by the Company in accordance with EU Regulation 2016/679 (GDPR) and Legislative Decree No. 196/2003 as amended. For detailed information on the purposes, methods and retention periods for data, please refer to the Privacy Policy available on the Website.

13. Amendments to the General Conditions

The Company reserves the right to amend these General Conditions at any time by publishing the updated version on the Website. Amendments will not affect Orders already confirmed. Users are advised to check this section periodically.

14. Complaints, Dispute Resolution and Governing Law

14.1 Complaints

For any complaints or enquiries, the User may contact Customer Care at customercare@dls.it. The Company undertakes to respond within 3 working days.

Consumer Users retain the right to make use of alternative dispute resolution (ADR) procedures as provided for under applicable legislation.

14.2 Governing law and jurisdiction

These General Conditions are governed by Italian law. For disputes between the Company and a consumer User, jurisdiction lies with the court of the User’s place of residence or elected domicile, if located in Italian territory, pursuant to Article 66 of the Consumer Code. For all other disputes, exclusive jurisdiction lies with the Court of Fermo.
